I am Billy Simba, founder and principal creator of Simba Photography LLC. Based in Rochester, New York, Simba Photography began as an amateur passion project with nothing more than the smartphone in my pocket. This Agreement is entered into between Simba Photography LLC ("Photographer" or "Studio"), organized under the laws of the State of New York (DOS ID #6875002, Monroe County), and the individual or business entity executing this booking request ("Client"). Photographer agrees to provide photographic capture, lighting, creative direction, and digital post-production retouching as specified in the confirmed session package.
A non-refundable thirty percent (30%) retainer deposit is required to permanently lock Client's date and time on Billy Simba's shooting calendar. Because the Studio turns away other prospective clients upon date commitment, this retainer represents liquidated damages to compensate Photographer for reserving the time slot and is non-refundable. The remaining 70% balance is due strictly upon completion of the shoot and prior to final private gallery release.
In the event of severe weather in Monroe County, NY (continuous rain, lightning, snow blizzards, or wind gusts exceeding 25 mph) for outdoor location shoots, Client is entitled to one (1) complimentary date reschedule within 60 calendar days. The 30% retainer transfers 100% to the new rescheduled date. For non-weather rescheduling requested by Client, written notice must be provided at least 72 hours in advance.
Standard portrait and event galleries are retouched and delivered digitally within fourteen (14) business days via the Client Proofing Portal. Clients selecting the 48-Hour Rush Delivery add-on receive prioritized studio editing with master delivery within 48 hours of shoot wrap.
Pursuant to Title 17 of the United States Code (Copyright Act), Simba Photography LLC retains sole and exclusive artistic copyright to all original raw sensor data, digital negatives, and artistic compositions. Client is granted a perpetual, worldwide, royalty-free Personal Reproduction License to download, print, frame, and share all delivered retouched images across personal and non-commercial social media profiles.
Simba Photography LLC values your privacy and is strictly committed to protecting the confidentiality of your personal, photographic, and financial data.
We collect only necessary information required to communicate, plan, and execute your photography booking: client full name, email address, telephone number, and session vision notes.
Simba Photography LLC never sells, rents, licenses, or discloses client contact information or photos to third-party marketing firms, advertisers, or automated data brokers.
High-resolution proofing galleries are shown through the Client Proofing Portal with an access code. Client archives are stored by Simba Photography LLC for a minimum of twelve (12) months after delivery.

Unless an explicit Non-Disclosure Agreement (NDA) or Private Shoot designation is requested in writing prior to shooting, Client grants Simba Photography LLC the customary right to display photographic selects in the studio's online portfolio, Instagram feed (@simbaphotography.us), Facebook page, and fine-art exhibitions for the sole purpose of artistic demonstration and studio marketing.
Simba Photography LLC hereby grants Client an unrestricted, royalty-free, perpetual license to reproduce, print (at any third-party lab of Client's choosing without watermark restrictions), crop for personal profile avatars, and distribute all delivered retouched images for personal, family, and non-commercial social media sharing worldwide.
For public figures, corporate executives, or clients desiring strict 100% confidentiality, Simba Photography LLC offers private non-disclosure guarantees upon request with zero online publication.
In accordance with federal copyright law (Title 17, United States Code), all original photographs, raw sensor negative files, digital master files, and artistic compositions created by Billy Simba remain the exclusive intellectual property of SIMBAPHOTOGRAPHY LLC. Unless explicitly transferred through a signed corporate assignment deed, no transfer of underlying copyright occurs; clients receive licensed commercial reproduction rights for their designated scope, media channels, duration, and geographic territory.
Standard individual sessions (portraits, graduations, celebrations) include unrestricted Personal Non-Commercial Rights. Any publication by or on behalf of a registered business, corporation, non-profit, medical practice, academic institution, or commercial brand requires a confirmed Tier 2 (Regional Commercial) or Tier 3 (Advertising Buyout) license accord.
Paid digital advertising (Meta Ads, Google Ads, TikTok Ads), out-of-home (OOH) billboards, point-of-sale retail packaging, and national broadcast usage require Tier 3 Advertising Buyout licensing. This tier includes waiver of mandatory photographer credit ("Photo: Simba Photography LLC") and provides formal commercial indemnification for the purchasing enterprise.
All commercial assets featuring recognizable persons include executed digital model releases compliant with New York Civil Rights Law §§ 50–51, filed cryptographically in the Simba Photography LLC legal vault (view mobile portal).
University of Rochester, RIT, school district, and corporate accounts payable departments may disburse vendor payments directly via automated ACH clearing house transfer or electronic wire.
Does your university campus venue (e.g. Eastman Theatre, Memorial Art Gallery, River Campus) require Simba Photography LLC to issue a Certificate of Insurance listing the institution as an Additional Insured? Submit the required specs below:
