These Terms of Service ("Agreement") govern all photographic assignments, commercial productions, studio bookings, digital asset deliveries, and licensing agreements executed between SIMBAPHOTOGRAPHY LLC ("Studio", "Photographer", "we", "us") and the commissioning client ("Client", "you").

1. Scope of Engagement & Production

SIMBAPHOTOGRAPHY LLC provides professional commercial photography, executive portraiture, graduation and milestone captures, creative studio lighting, and digital post-production grading. The specific shoot location, date, coverage duration, and deliverable specifications are governed by the accepted booking invoice and project contract.

2. Booking Retainer & Payment Schedule

• Non-Refundable Retainer: A thirty percent (30%) retainer fee is required to formally reserve and lock your requested session date and studio time on our production calendar. Retainers are applied directly toward the total project balance.
• Balance Settlement: The remaining project balance is due and payable upon completion of principal photography or before the release of final high-resolution unwatermarked deliverables.
• Accepted Payment Methods: Remittances are accepted via official corporate payment channels: Mercury Business Checking, Cash App LLC ($simbaphotography), Venmo Business (@SimbaPhotography), and PayPal Business.

3. Rescheduling & Inclement Weather

Clients may reschedule outdoor or studio sessions up to forty-eight (48) hours prior to the scheduled call time without penalty, subject to studio availability. In cases of severe inclement weather or hazardous meteorological conditions in the Greater Rochester area, sessions will be rescheduled to the nearest mutually agreed alternate date at no extra fee.

4. Copyright Ownership & Licensing (U.S. Title 17)

Under Title 17 of the United States Code (Copyright Act of 1976), all original photographic captures, RAW image files, creative color grades, and digital negatives created by Billy Simba remain the exclusive intellectual property and copyright of SIMBAPHOTOGRAPHY LLC.

• Personal Sessions: Clients receive a perpetual, non-exclusive, non-commercial reproduction license for personal display, social media publication, and private printing.
• Commercial Assignments: Commercial clients receive specified commercial advertising buyout licenses as detailed on their project invoice, granting rights for marketing, corporate websites, editorial, and point-of-sale collateral.

5. Proofing & Delivery Turnaround

Private digital proofing galleries are made available via our encrypted VIP Vault within 3 to 5 business days following session completion. Final master-graded high-resolution media is delivered in full resolution JPG format upon client proof approval. Archives are maintained in encrypted cloud backup for twelve (12) months.

6. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any legal proceedings arising under this Agreement shall be brought exclusively in the state or federal courts located in Monroe County, New York.
